Terms of Service
Effective from 20 September 2026 — staging validation value. These terms govern your use of this Resonate service.
1. Who you are contracting with
⚖ Jurisdiction-specific. What an operator must publish about itself — registration number, share capital, registered office, publication director, hosting provider — is set by local law. The fields below reflect European identification duties and are not a universal list.
Resonate is operated by MAYA LABS, SAS, société par actions simplifiée with share capital of 100,00 € (fixe), registered office Not published in this test environment; contact the operator by email., registered under RCS Paris 106 090 699 ("we", "us", "the operator"). You can reach us at contact@maya-labs.xyz.
2. What Resonate is
Resonate is a music platform where you can listen to music, discover it through recommendations, support live shows with money held in escrow, collect moments from tracks, license stems from artists, and create with AI-assisted tools.
Resonate is early software. Parts of it are labelled beta or restricted to invited users, and we may change, gate or withdraw features. We do not promise that any feature will remain available.
3. Eligibility and your account
You must be at least 18 — staging validation value years old to hold an account. If you use paid features you confirm you have the legal capacity to enter into contracts.
Accounts are created and secured with a passkey — a credential stored on your device and protected by your device's own unlock method. No email address is needed. We never receive or store your biometric data; we store only the public credential your device gives us. You can optionally add an email address in Settings to also receive platform notices by email (see the Privacy Policy); it is never used to sign in or to recover your account.
Your account is linked to a smart account wallet used for on-chain actions. You are responsible for keeping access to your device and passkey. Losing them may mean losing access to funds or assets held in that wallet. We cannot recover them for you.
You are responsible for activity under your account.
4. Money
On-chain payments — pledges, marketplace purchases and settlements — are made in the payment assets Resonate accepts for that transaction, shown to you before you commit. In production these are ETH, USDC on the Base Sepolia network. Generation credits are a separate, off-chain balance denominated in USD cents.
Where you pay with a crypto-asset, risks apply that we do not control: network failures, a stablecoin losing its peg, and the irreversibility of confirmed transactions. A transaction confirmed on-chain cannot be undone by us.
The fees below are the complete set. They are shown to you before you commit to any transaction.
| What you do | What we take | What the artist receives |
|---|---|---|
| Pledge to a show campaign | 6%, only if the campaign funds successfully, deducted when funds are released | at least 85% |
| Buy a stem licence, download, or collectible on the marketplace | 10% | at least 85% |
| Make a personal micro-purchase | 15% | at least 85% |
| Generate with AI | prepaid generation credits, priced at cost plus a margin | not applicable |
Artists receive at least 85% of every transaction. There is no recoupment against that share, and no minimum threshold before an artist can be paid.
What we do not offer. Resonate does not offer royalty-yield products, income-share products, or any instrument whose return depends on someone else's performance. Collectibles and moments are utility items — access, recognition, a record that you were there — and are not investments. Nothing on Resonate is a security, a fund, or a deposit, and nothing on Resonate should be bought in the expectation of financial return.
Listening does not generate payouts by itself. Any listener payout is pre-funded from money that has actually been paid in. We do not subsidise payouts for free listening.
5. Show campaigns and escrow
When you pledge to a show campaign, your funds are held in a smart contract while the campaign runs.
Reaching the goal does not pay everything out at once. A funded campaign moves through booking confirmation, a deposit released to the artist, fulfilment of the show, and a dispute window before the remaining funds are released. Our fee is taken only when money actually moves to the artist, proportionally at each release — never when you pledge.
If a campaign does not reach its goal, you are refunded in full. If a campaign is cancelled, what you get back depends on whether any money had already been released to the artist: before any release, your full pledge; after a deposit release, your proportional share of what remains in escrow, which is less than your pledge.
The refund policy governs refund amounts and timing in every case. It forms part of these terms, and where this summary and that policy differ, the policy is what applies.
A pledge is support for a show, not a ticket, a share in the show's revenue, or a claim on the artist. What a campaign promises you is written on the campaign page, and the artist — not us — is responsible for delivering it.
6. Your content
You keep your rights. Uploading music to Resonate does not transfer ownership of it.
You grant us a non-exclusive, worldwide licence to host, store, reproduce, stream and display your content for the purpose of operating the service, and to make the parts you have published available to other users in the ways the product offers — playback, discovery surfaces, previews, and the licence tiers you enable.
You warrant that you have the rights. When you upload, you confirm you own or control the necessary rights, including those of any featured performers and rights-holders. Uploads pass through rights verification before they can be distributed, and content may be staked and challenged under the platform's content-protection process. That process is a private mechanism between users of the platform; it does not determine legal ownership and does not replace a court.
You must declare AI involvement in what you upload where the product asks you to. Misrepresenting AI-generated material as human-performed is a breach of these terms.
7. Licensing stems
Stems are licensed on published tiers — personal, remix, commercial, sample, sync, broadcast — each with its own terms shown at the point of purchase. The licence you receive is the one displayed for that tier. Buying a stem does not transfer ownership of the underlying work, and does not grant rights beyond the tier you bought.
Remixes carry attribution to the source work. Where a remix is itself licensed, the originating artists retain their share under the same 85% floor.
8. AI features
Resonate offers AI-assisted generation and AI-assisted discovery.
- Generated output is produced by third-party models. We do not guarantee it is original, and we do not guarantee it is free of resemblance to existing works. You are responsible for what you publish.
- Generation is metered with prepaid credits. Credits are consumed when a generation succeeds; a failed generation should not cost you credits. See the refund policy for the limits of that promise.
- Provenance and declared-AI markers travel with generated material. Removing or falsifying them is a breach of these terms.
- Recommendations are automated. They shape what you are shown; they do not produce legal or similarly significant effects for you. Taste memory controls are partly available today; see the privacy policy for what is live.
9. Acceptable use
Do not upload material you have no right to, impersonate others, attempt to manipulate discovery or campaign funding, interfere with the escrow or the contracts, scrape beyond what the published interfaces allow, or use Resonate to launder value or evade sanctions.
We may remove content and restrict features where these terms are breached.
10. Disputes about content
Content disputes — ownership challenges, takedown requests, protection challenges — run through the platform's dispute process, described in the product. Decisions made there bind what happens on Resonate. They do not decide who owns anything as a matter of law, and nothing in that process prevents you from going to court.
11. Availability and changes
We do not promise uninterrupted availability. We may suspend the service for maintenance, security, or because a third party we depend on has failed.
We may change these terms. Changes are posted here with a new effective date and never apply retroactively to a transaction already completed. An operator must not make a change that legally requires direct notice until it has a channel capable of delivering that notice.
12. Liability
We provide the service with reasonable care and skill. To the extent the law allows, we are not liable for indirect or consequential loss, for loss caused by blockchain networks, stablecoin issuers, or wallet providers we do not control, or for what other users do.
Nothing here limits liability that cannot lawfully be limited — including liability for death or personal injury, for fraud, or for your mandatory rights as a consumer.
13. Ending the relationship
You can ask us to close your account at any time by writing to contact@maya-labs.xyz. Closure is followed by deletion as described in the privacy policy, subject to the records we must keep and to what cannot technically be erased — your on-chain activity stays where it is.
We may stop providing the service to you for material breach, or if we stop operating the service, with notice where we can give it. The notice limitation in section 11 still applies: there is no general contractual- or policy-change notice workflow today.
Suspension and closure of an account. An operator can suspend an account, for a set period or until lifted, or close it, for a stated reason category: terms violation, fraud, abuse, rights infringement, or another reason covered by these terms. The person is told in an in-app notice that names the category and any end date. While an account is suspended or closed the platform refuses changes made through it, such as uploads, listings, purchases, pledges and posts; signing in, reading your own data and notices, claiming a refund you are owed, exporting your data and asking for deletion keep working. Transactions you sign directly with your own wallet happen on the network and are not controlled by the platform. There is no in-app appeal yet: to contest a decision, write to contact@maya-labs.xyz.
Obligations that make sense beyond termination survive it: completed transactions, licences already granted, and the limits in section 12.
14. Law and disputes
⚖ Jurisdiction-specific. Governing law, competent courts, consumer mediation and online dispute resolution all depend on where the operator is established and where its users live. An operator may be obliged to name a consumer mediator, at its own cost.
These terms are governed by the law of French law — staging validation value, and disputes go to the courts of competent courts under applicable French consumer law — staging validation value.
If you are a consumer, you keep the protections of the law where you live, and you may use the mediation and online dispute-resolution routes available to you. Details are published alongside these terms.
